PUBLIC CONTRACT (OFFER) for ordering, purchasing, and delivery of goods

This contract is the official and public offer of the Seller to enter into a contract for the sale of the goods presented on the website https://icoal.com.ua/. This contract is public, meaning that according to Article 633 of the Civil Code of Ukraine, its terms are the same for all buyers, regardless of their status (individual, legal entity, sole proprietor) without giving preference to one buyer over another. By entering into this Contract, the buyer fully accepts the terms and conditions of placing an order, paying for goods, delivering goods, returning goods, responsibility for dishonest orders, and all other terms of the contract. The contract is considered concluded from the moment the “Confirm Order” button is clicked on the order page in the “Cart” section and the Buyer receives an order confirmation from the Seller in electronic form.

1. Definitions of Terms
   • 1.1. Public Offer (hereinafter referred to as “Offer”) – a public proposal by the Seller, addressed to an unspecified number of people, to enter into a sales contract with the Seller for goods via remote means (hereinafter referred to as the “Contract”) on the terms specified in this Offer.
   • 1.2. Goods or Services – the object of the agreement between the parties, selected by the buyer on the Internet store website and placed in the cart, or already purchased by the Buyer from the Seller via remote means.
   • 1.3. Internet Store – the Seller’s website at https://icoal.com.ua/ created for the conclusion of retail and wholesale sales contracts based on the Buyer’s familiarization with the description of the goods offered by the Seller via the Internet.
   • 1.4. Buyer – an individual with legal capacity who is at least 18 years old, receives information from the Seller, places an order to purchase goods presented on the Internet store website for purposes not related to business activities, or a legal entity or sole proprietor.
   • 1.5. Seller – Individual Entrepreneur Kateryna Oleksandrivna Shcherbakova (identification code 3263801768), acting on the basis of state registration.
2. Subject of the Contract
   • 2.1. The Seller agrees to transfer ownership of the Goods to the Buyer, and the Buyer agrees to pay for and accept the Goods under the terms of this Contract.
   • 2.2. The date of the Offer Contract (acceptance of the Offer) and the moment of the Buyer’s full and unconditional acceptance of the Contract terms shall be the date the Buyer fills out the order form located on the Internet store’s website, provided the Buyer receives an electronic confirmation of the order from the Seller. If necessary, at the Buyer’s request, the Contract may be formalized in writing.
3. Order Placement
   • 3.1. The Buyer independently places an order in the Internet store via the “Cart” form or by placing an order via email or phone number indicated in the contact section of the Internet store.
   • 3.2. The Seller reserves the right to refuse to fulfill the order if the information provided by the Buyer during order placement is incomplete or raises doubts about its authenticity.
   • 3.3. When placing an order on the Internet store website, the Buyer agrees to provide the following mandatory information required by the Seller to fulfill the order:
     • 3.3.1. Buyer’s last name, first name;
     • 3.3.2. Delivery address of the Goods (if delivery to the Buyer’s address);
     • 3.3.3. Contact phone number;
     • 3.3.4. Identification code for a legal entity or sole proprietor.
   • 3.4. The name, quantity, SKU, and price of the selected Goods are indicated in the Buyer’s cart on the Internet store website.
   • 3.5. If any party to the contract needs additional information, they have the right to request it from the other party. If the Buyer fails to provide the necessary information, the Seller is not responsible for providing a quality service to the Buyer when purchasing goods in the Internet store.
   • 3.6. When placing an order through the Seller’s operator (p. 3.1 of this Offer), the Buyer agrees to provide the information specified in p. 3.3 – 3.4 of this Offer.
   • 3.7. The Buyer is responsible for the accuracy of the information provided when placing the Order.
   • 3.8. By entering into the Contract, i.e., accepting the terms of this offer by placing an Order, the Buyer confirms the following:
     • a) The Buyer is fully familiar with and agrees to the terms of this offer;
     • b) The Buyer consents to the collection, processing, and transfer of personal data, and such consent for data processing is valid throughout the duration of the Contract and for an indefinite period thereafter. By entering into the contract, the Buyer confirms that they are informed (without additional notification) of the rights established by the Law of Ukraine “On Personal Data Protection,” the purposes of data collection, and that their personal data is transferred to the Seller to enable compliance with the Contract, facilitate settlements, and receive invoices, acts, and other documents. The Buyer also agrees that the Seller has the right to grant access to and transfer their personal data to third parties without further notice to the Buyer to fulfill the Buyer’s order. The extent of the Buyer’s rights as a personal data subject under the Law of Ukraine “On Personal Data Protection” is known and understood by them.
